Terms of Service

NidoDirect Inc. ("NidoDirect," "we," "us," or "our") operates a guided, agent-free real estate coordination platform at NidoDirect.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms").

NidoDirect is not a real estate brokerage, law firm, or licensed real estate agent. The Platform connects home sellers and buyers with licensed New Jersey transaction coordinators ("TCs") who manage the administrative and procedural aspects of real estate closings. NidoDirect does not represent either party in a fiduciary capacity and does not provide legal or financial advice.

NidoDirect provides the following services to registered sellers:

• Property listing on the NidoDirect platform
• Facilitation of MLS listing through a licensed NJ broker partner
• Assignment of a licensed NJ transaction coordinator to your transaction
• Access to an AI-assisted offer builder tool (informational only — not legal advice)
• Tour scheduling tools and optional smart lockbox coordination
• End-to-end closing coordination through your assigned TC

Services are provided on a success-only basis. The NidoDirect flat fee ($2,500 as of the date of these Terms) is due only upon a successful closing. If no closing occurs, no fee is owed to NidoDirect.

NidoDirect is not licensed as a real estate broker or agent in New Jersey or any other state. Nothing on this Platform constitutes real estate brokerage services, legal representation, or fiduciary representation of any kind.

Transaction coordinators facilitated through NidoDirect are independent licensed professionals operating under their own broker sponsorship. They provide administrative coordination services — they do not negotiate on your behalf or provide legal advice.

You are strongly encouraged to retain your own New Jersey-licensed real estate attorney for any residential transaction. New Jersey law requires a mandatory 3-business-day attorney review period on all residential purchase contracts.

As a seller using the Platform, you represent and warrant that:

• You are the legal owner of the property listed, or have authority to act on the owner's behalf
• All property information you provide is accurate and complete to the best of your knowledge
• You will comply with all applicable New Jersey real estate disclosure laws
• You will retain your own attorney for the attorney review period
• You understand that NidoDirect does not negotiate offers on your behalf
• You will set your own listing price and make all offer decisions independently

The NidoDirect platform fee is $2,500 flat, payable only at successful closing as part of your HUD-1/settlement statement. There is no upfront fee to list on NidoDirect.

An MLS listing fee of approximately $150–$299 (billed by our broker partner) may apply separately and is payable upfront. This fee covers the cost of placing your listing on the New Jersey MLS system.

Fees are subject to change. The fee applicable to your transaction is the fee disclosed at the time you submit your listing, as confirmed in your Seller Agreement.

The NidoDirect AI offer builder provides informational suggestions based on publicly available comparable sales data. Output from the AI offer builder is not legal advice, not a legally binding offer, and not a guarantee of market value.

All purchase offer documents must be reviewed by your attorney during the attorney review period. NidoDirect and its TCs are not responsible for decisions made based on AI-generated content.

If you elect to use NidoDirect's smart lockbox self-touring service, you agree to the following:

• You assume responsibility for the security of your property during self-guided tours
• NidoDirect is not liable for property damage, theft, or personal injury occurring during self-guided tours
• You will install and maintain the lockbox according to provided instructions
• Lockbox hardware remains the property of NidoDirect and must be returned within 7 days of closing or listing cancellation

To the maximum extent permitted by law, NidoDirect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or property damage, arising from your use of the Platform or services.

NidoDirect's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount of fees actually paid by you to NidoDirect in the twelve months preceding the claim.

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the courts of Monmouth County, New Jersey.

We may update these Terms from time to time. We will notify active users of material changes by email. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
